Director, Legal Securities & Governance
Overall Job Summary
Location: Brentwood, TN (suburb of Nashville) | If you are not local to the area relocation will be required and a relocation package provided. This will not be a remote position.
Hybrid: Hybrid is defined as coming into the office 3 days/weekly.
The Director of Legal for Securities & Governance is responsible for (i) drafting and reviewing regulatory documents required for filing with the Securities and Exchange Commission (the “SEC”), (ii) managing corporate governance and updating and drafting policies and procedures for compliance with NYSE and SEC regulations and requirements, (iii) maintaining awareness of governance trends and making appropriate recommendations, and (iv) reviewing corporate communications including communications with investors, disclosures, press releases, marketing materials, and investor presentations.
Essential Duties and Responsibilities (Min 5%)
- Prepare and review SEC filings including registration statements and Forms 10-K, 10-Q and 8-K.
- Work with executive team to ensure the organization is in compliance with applicable securities laws and stock exchange regulations.
- Advise and assist on matters of corporate governance, compliance and work with other internal corporate departments, as needed, to accomplish company goals in these areas.
- Review and work with disclosures team to advise on internal and external corporate communications.
- Work with an internal team and outside counsel in debt offerings, credit facilities, managing the insider trading process with the finance department and working as a member of the team focusing on Mergers and Acquisitions and other strategic initiatives.

This role is for a hands-on person with great attention to detail, excellent people skills, a constant learner, and an excellent writer who can help weave our corporate story throughout various filings and releases.
- Demonstrated ability to (i) identify and raise salient issues, (ii) draft language and propose various options that consider relevant strategic or business goals, and (iii) communicate issues, risks, and solutions clearly and concisely to lawyers and non-lawyers alike.
- Creative thinker and an effective storyteller who is willing to learn and understand our corporate mission and advocate passionately for our business.
- Experience dealing with diverse constituencies and external parties (board members, investors, senior management, regulators, and external counsel)
- Experience with ESG reporting.
- Proven ability to handle multiple projects and assignments simultaneously, without significant direct supervision from a senior attorney, and still meet high quality and timeliness standards.
- Constant learner of new things, adaptive, and willingness to share them with your team members.
