Sr Dir, Legal Corporate-Tech
Overall Job Summary
This position will be responsible for general contracts, ecommerce, privacy, technology, mergers and acquisitions, assisting with securities matters and offerings, corporate governance, ESG and general corporate related matters. This role will provide regulatory and compliance counseling with respect to many substantive areas including federal securities laws, stock exchange requirements, and state corporate laws, and will support a broad array of internal business clients, including Finance, Investor & Public Relations, Business Development and Information Technology.
Essential Duties and Responsibilities (Min 5%)
- Experience drafting SaaS, joint development, proof-of-concept, technology license, and software license agreements.
- Counsel clients on consumer data privacy and cybersecurity issues
- Drafting, reviewing, and negotiating commercial contracts, with a focus on information technology-related agreements, such as enterprise software license agreements, SaaS agreements, software development agreements, outsourcing agreements, consulting and professional services agreements.
- Coordinating with Information Security and Risk Management teams and other subject matter experts on privacy, information security, intellectual property, and other issues that arise in connection with vendor agreements and other transactions.
- Monitor developments, including proposed legislation and court decisions related to technology, including data privacy laws, and evaluates impact on operations
- Manage and provide advice with respect to corporate governance requirements and general commercial best practices, including related documentation and research or benchmarking projects.
- Provide legal advice and support for strategic and non-strategic corporate transactions, including IT organization in developing routine policy and procedural improvements, mergers and acquisitions; divestitures; various cash management, liquidity and capital strategies, such as debt and equity issuances and offerings; stock repurchases; investment opportunities; swaps and derivatives transactions; asset sales and purchases; loan portfolio sales and purchases; indirect or other third party lending relationships; SEC and NYSE rules and regulations applicable to the Company, including drafting, managing and filing applicable disclosure documents; and intercompany transfers and transactions
- Assist with addressing ESG matters, related disclosures and related inquiries from various stakeholders.
- Provide contract drafting and negotiation and related client counseling for multiple business clients, including advising these clients on day-to-day legal and regulatory issues.
- Support the Company's M&A activity.
- Manage outside counsel.
Required Qualifications
Experience: Minimum of 10 years of corporate governance, finance, commercial, securities, mergers and acquisitions, technology, and privacy law experience.
Education: Juris Doctor degree. Licensed to practice in the State of Tennessee.
Preferred knowledge, skills or abilities
- Strong technical skills with focus on MS Office and document editing.
- Ability to solve complex legal issues and apply broad principles.
- Ability to think strategically and proactively and quickly identify legal risks and solutions.
- Ability to identify appropriate and cost effective outside counsel and manage their efforts
